Domain Registration Agreement

This Domain Registration Agreement (the “Agreement”) is between ISG Development, LLC (“The Company”) and the individual or entity (the “Registrant” or “User”) registering one or more domain names (“Domains”). By registering Domains through The Company’s services, either via our website or by having us facilitate the registration, the Registrant agrees to be bound by the terms and conditions of this Agreement, as well as the terms and conditions of the relevant domain registrar and registry, as outlined below.

Agreement to Registrar and Registry Terms

The Registrant acknowledges and agrees that by registering Domains through The Company, they are also bound by the applicable terms and conditions of the domain registrar and the registry for the chosen domain extension (TLD). These terms are provided by the registrar and the registry, and it is the Registrant’s responsibility to review and comply with them.

Domain Registration and Ownership

Upon successful registration, The Company will act as an intermediary between the Registrant and the registrar. The Domains will be registered in the Registrant’s name and is subject to the policies of the registrar and registry. The Registrant is responsible for managing, renewing, and maintaining their domain registration in accordance with this Agreement and applicable registrar/registry policies.

Payment and Fees

The Registrant agrees to pay the applicable registration and/or transfer fees for the Domains. Fees may vary depending on the domain extension and registration term. The Company reserves the right to update fees and will notify the Registrant of any changes before applying them.

Domain Renewal

It is the Registrant’s responsibility to ensure timely renewal of the Domains. Failure to do so may result in the loss of ownership of the Domains. The Company may offer a renewal service, but does not guarantee the Domains will be renewed unless the Registrant takes appropriate action. The Registrant is responsible for monitoring expiration dates and ensuring that their Domains are renewed before expiration.

Domain Transfer

The Registrant may transfer the Domains to another registrar or party, subject to the relevant registry’s policies. The Company will assist in the transfer process, but the Registrant is responsible for any transfer fees and compliance with all transfer procedures set by the relevant registrar and registry.

Prohibited Uses

The Registrant agrees not to use the registered Domains for any illegal, fraudulent, or unethical purposes. The Domains must not infringe upon any third-party intellectual property rights or violate the terms of use of the registrar or registry.

The Company reserves the right to suspend or cancel the domain registration if it is found to be in violation of any applicable laws, the registrar’s policies, or the registry’s regulations.

Indemnification

The Registrant agrees to indemnify and hold harmless The Company, the registrar, and the registry from any claims, losses, or damages arising from the Registrant’s use of the Domains, including any intellectual property infringement, regulatory violations, or third-party claims.

Limitation of Liability

To the fullest extent permitted by law, The Company’s liability in relation to the domain registration, renewal, transfer, or management services will be limited to the amount paid by the Registrant for the domain registration.

The Company is not responsible for any loss of revenue, profit, or data resulting from the suspension, loss, or transfer of the Domains.

Termination

The Company reserves the right to suspend or terminate the domain registration if the Registrant violates any term of this Agreement or the policies of the registrar or registry. Termination of the domain registration may result in the loss of the Domains, and no refunds will be provided for any unused registration periods.

Dispute Resolution

Any disputes arising from this Agreement or the domain registration process will be resolved in accordance with the policies and procedures of the registrar and registry. In the event of a dispute between the Registrant and the registrar, The Company may assist in facilitating communication, but the Registrant acknowledges that the ultimate resolution lies with the registrar and registry.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Vermont, and the parties hereby consent to the personal jurisdiction and venue of such courts. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a continuing waiver of such term or any other term.

Entire Agreement and Amendments

This Agreement constitutes the entire understanding between the parties with respect to the registration and management of Domains and supersedes all prior agreements, whether written or oral, related to domain registration. This Agreement does not replace or override other agreements or policies, including the Acceptable Use Policy, or any other terms and conditions that govern the use of The Company’s services.

The Company reserves the right to update or amend this Agreement at any time. Users will be notified of any material change via email, through The Company’s website or other reasonable means of communication. Continued use of The Company’s domain registration services after such changes constitutes acceptance of the revised terms.

By completing the domain registration process through The Company, the Registrant acknowledges and agrees to the terms of this Agreement, as well as the terms of the applicable registrar and registry policies.
